TERMS AND CONDITIONS GOVERNING LIFE UK MEMBERS

GENERAL

These Terms and Conditions govern the relationship between each Life UK Free Member and Life UK Financial Limited (“Life UK” or “the Company”).

Life UK is the promoter of the Life UK Financial trading scheme in the United Kingdom. The services supplied under this scheme are: use of the website financial management tools, access to financial and/or legal services supplied by third party providers following advice from an independent third party adviser and access to online financial educational seminars and such other services as Life UK and/or its third party advisers may market from time to time.

My IFA is one of the third party advisers to which referrals are made by Life UK. Life UK has an interest in My IFA as a minority shareholder.

The online acceptance by the Member of these Terms and Conditions confirms that the Member has read and accepted these Terms and Conditions (“Member Agreement”).

BECOMING A LIFE UK MEMBER

• The Member must have reached the age of 18 years and be resident in the United Kingdom.

• The Member will be allocated a Member ID Number. This number will be recorded on the Life UK computer together with the Member’s personal details obtained from the Member Agreement.

• Life UK will accept as Members individuals, partnerships and limited companies.

• No purchase is necessary to become a Free Member.

MEMBER RIGHTS

Life UK grants to the Member access, via the Life UK website, to specialist advice from Life UK’s Third Party Advisers. Access is subject to the terms and conditions of the Member Agreement.

DATA PROTECTION

This policy describes Life UK’s duty of care in relation to Members with regard to the data (whether personal or otherwise) that is collected and held by it. Life UK is committed to:

• Obtaining and processing personal data or the information constituting personal data fairly;


• Ensuring personal data is accurate and, where necessary, kept up to date;

• Keeping personal data for only one or more specific lawful purpose;

• Not using or disclosing personal data in any manner incompatible with such lawful purpose;

• Ensuring that personal data is adequate, relevant and not excessive in relation to such purposes;

• Not keeping personal data for longer than is necessary for such purposes; and

• Taking appropriate security measures against unauthorised access or alteration, disclosure or destruction of personal data and against its accidental loss or destruction.

The Member acknowledges that he/she has been informed by Life UK that the information which he/she gives to Life UK (including information relating to the Member, his/her address and other details) will be retained by Life UK on a computer database and will be used by Life UK for the purpose of calculating the marketing commissions payable and for the performance of the Life UK business. The Member also acknowledges that this information will be the property of Life UK and that Life UK may disclose this information in connection with its purposes to associated entities of Life UK which may be situated inside or outside the EEA and to other persons and, in particular, may disclose it to Life UK Associates as part of Life UK Sales Activity Reports and to Life UK Key Partner Advisers. The Member consents to Life UK retaining, processing and disclosing the information referred to as set out above. The Member gives permission for Life UK to include the Member in both standard and specific communications which Life UK will send by e-mail and by post on a regular basis.

ADVICE AND SERVICES

The Member acknowledges that at no time will Life UK offer financial advice or accept responsibility for offering financial advice and that all services will only be offered to the Member by Third Party Advisers and that any disagreements or complaints resulting from the Member’s dissatisfaction with any services provided will be the sole responsibility of the Third Party Adviser.


PROHIBITED USES

You may use our website only for lawful purposes. You may not use our website site:

• In any way that breaches any applicable local, national or international law or regulation.

• In any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect.

• For any purpose of harming or attempting to harm minors in any way.

• To send, knowingly receive, upload, download, use or re-use any material which does not comply with our content standards.

• To transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (spam).

• To knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time*bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.


You also agree:

• Not to reproduce, duplicate, copy or re-sell any part of our website.

• Not to access without authority, interfere with, damage or disrupt: any part of our website or any equipment or network on which our website is stored or any related software.


INTERACTIVE SERVICES

We may from time to time provide interactive services on our website, including, without limitation:

• Video Content
• Interactive Content
• Chat rooms
• Bulletin boards

Where we do provide any interactive service, we will provide clear information to you about the kind of service offered, if it is moderated and what form of moderation is used (including whether it is human or technical).

We will do our best to assess any possible risks for users (and in particular for children) from third parties when they use any interactive service provided on our website and we will decide in each case whether it is appropriate to use moderation of the relevant service (including what kind of moderation to use) in the light of those risks.

However, we are under no obligation to oversee, monitor or moderate any interactive service we provide on our website. We expressly exclude liability for any loss or damage arising from the use of any interactive service by a user in contravention of our content standards, whether the service is moderated or not.

The use of any of our interactive services by a minor is not recommended and is subject to the consent of their parent or guardian. We advise parents who permit their children to use an interactive service that it is important that they communicate with their children about their safety online, as moderation is not foolproof. Minors who are using any interactive service should be made aware of the potential risks to them.

Where we do moderate an interactive service, we will normally provide you with a means of contacting the moderator, should a concern or difficulty arise.

CONTENT STANDARDS

These content standards apply to any and all material which you contribute to our website (contributions), and to any interactive services associated with it.

You must comply with the spirit of the following standards as well as the letter. The standards apply to each part of any contribution as well as to its whole.

Contributions must:

• Be accurate (where they state facts);
• Be genuinely held (where they state opinions);
• Comply with the applicable law in the UK and in any country from which they are posted.

Contributions must not:

• Contain any material which is defamatory of any person;
• Contain any material which is obscene, offensive, hateful or inflammatory;
• Promote sexually explicit material;
• Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;
• Infringe any copyright, database right or trade mark of any other person;
• Be likely to deceive any person;
• Be made in breach of any legal duty owed to a third party, such as a contractual duty or duty of confidence;
• Promote any illegal activity;
• Be threatening, abuse or invade another’s privacy, or cause annoyance, inconvenience or needless anxiety;
• Be likely to harass, upset, embarrass, alarm or annoy any other person;
• Be used to impersonate any person, or to misrepresent your identity or affiliation with any person;
• Give the impression that they emanate from Life UK, if this is not the case;
• Advocate, promote or assist any unlawful act such as (by way of example only) copyright infringement or computer misuse.

SUSPENSION AND TERMINATION

We will determine, in our discretion, whether there has been a breach of this acceptable use policy through your use of our website. When a breach of this policy has occurred, we may take such action as we deem appropriate.

Failure to comply with this acceptable use policy constitutes a material breach of the terms upon which you are permitted to use our website, and may result in our taking all or any of the following actions:

• Immediate, temporary or permanent withdrawal of your right to use our website;
• Immediate, temporary or permanent removal of any posting or material uploaded by you to our website;
• Issue of a warning to you;
• Legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach;
• Further legal action against you;
• Disclosure of such information to law enforcement authorities.

We do not accept liability for actions taken in response to breaches of this acceptable use policy. The responses described in this policy are not limited, and we may take any other action in our reasonable discretion.

CHANGES TO THE MEMBER AGREEMENT

We may revise this Member Agreement at any time by amending this page. We will notify Members of any changes in advance by email.

MISCELLANEOUS

i. This Agreement is personal to the Member and neither this Agreement nor any benefit under this Agreement may, without the prior consent in writing of Life UK, be assigned or otherwise disposed of by the Member. Life UK may assign this Agreement and any benefits relating thereto to any associated company of Life UK.

ii. Any notice required to be given hereunder shall be deemed validly served if delivered either personally or by first class post to the address notified by the other from time to time for this purpose. If sent by first class post, the period of notice shall start to run from the second day after such notice is posted. The Member shall inform Life UK within seven (7) days of any change of address.

iii. If any of the terms of this Agreement shall be found to be illegal, invalid or unenforceable under any applicable law, such term shall, insofar as it is severable from the remaining terms, be deemed omitted from this Agreement and shall in no way affect the legality, validity or enforceability of any other term or condition of this Agreement, all of which shall remain in full force and effect.

iv. This Agreement (except in the event of fraud) constitutes the entire agreement between Life UK and the Member and supersedes any previous agreement between them relating to the subject matter of this Agreement.

v. No third party which is not party to this Agreement may enforce any terms of this Agreement under the Contracts (Rights of Third Parties) Act 1999.

vi. Where the context so admits or requires, reference to the feminine gender includes the masculine gender and vice versa and words denoting the singular include the plural and vice versa; headings used in these Terms and Conditions shall not affect their interpretation.

vii. The Member Agreement is governed by English Law and the parties agree to submit to the exclusive jurisdiction of the English courts in the event of any dispute arising out of or in connection with the Agreement.

I/we apply to become Free Member(s) of Life UK Financial. I/we confirm that that the Terms and Conditions for Free Members lukf.v.1.1 have been read and accepted.
